These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction in which Cognive Solutions operates, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
Cognive Solutions provides software development, consulting, and support services as agreed upon in individual contracts or statements of work.
Invoices are due within 30 days of issuance unless otherwise specified. Late payments may incur a 1.5% monthly interest charge.
Unless otherwise specified in a contract, Cognive Solutions retains ownership of all pre-existing intellectual property, tools, and methodologies. Custom work developed under contract shall be owned as specified in the applicable statement of work or contract.
Both parties agree to maintain the confidentiality of all proprietary information shared during engagement, for a period of 3 years or as specified in a separate NDA.
In no event shall Cognive Solutions's total liability exceed the amount paid by the client in the 12 months preceding the claim. This limitation applies to all claims, regardless of the form of action.
Either party may terminate services with 30 days written notice. Upon termination, all outstanding invoices become immediately due and payable.
